These Terms of Use ('Terms') govern your access to and use of uploadlawyer.com and uploadcounsel.com (the 'Site'). By using the Site, you agree to these Terms.

Eligibility
You must be at least 18 years old and capable of forming a legally binding agreement to use the Site. If you use the Site on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

Nature of the Site
The Site is an attorney advertising and informational resource. Use of the Site does not create an attorney-client relationship. See the Attorney Advertising Disclaimer for additional details.

Acceptable use
You agree not to (a) use the Site for any unlawful purpose, (b) attempt to gain unauthorized access to any portion of the Site, (c) interfere with the Site's operation, (d) scrape or systematically extract Site content without permission, or (e) misrepresent your identity in intake submissions.

Intellectual property
All content on the Site — including text, graphics, logos, photographs, and the Upload Counsel and uploadlawyer.com brands — is the property of Upload Counsel or its licensors and is protected by applicable IP laws. You may view and share content for personal, non-commercial purposes with attribution. All other rights are reserved.

User submissions
Information you submit through intake or newsletter forms is governed by our Privacy Policy. You represent that you have the right to submit such information and that it is accurate to the best of your knowledge.

No warranties
The Site is provided 'as is' and 'as available' without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be error-free or uninterrupted.

Limitation of liability
To the maximum extent permitted by law, Upload Counsel, its founder, affiliated firm, and network attorneys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site, even if advised of the possibility of such damages. Our aggregate liability for any claims relating to the Site shall not exceed one hundred dollars (US$100).

Indemnification
You agree to indemnify and hold harmless Upload Counsel from any claims arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

The Site may link to third-party websites. We are not responsible for the content, accuracy, or availability of third-party sites.

Governing law & venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction there.

Termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice.

Changes
We may modify these Terms at any time by posting the updated Terms on the Site. Continued use of the Site after such posting constitutes acceptance.
